Terms and Conditions
Effective Date: July 7, 2025
These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Medinext Global LLC (“Medinext,” “we,” “us,” “our”), including Revenue Cycle Management (RCM) services, Recruitment Process Outsourcing (RPO) / Recruitment / Staffing services, and IT Consulting services (collectively, the “Services”).
By engaging our Services, visiting our website, or communicating with us, you agree to these Terms. If you do not agree, please do not use our Services.
1. Services Offered
1.1 Revenue Cycle Management (RCM)
Medinext may provide RCM services for healthcare organizations (medical and/or dental), including (as applicable):
- Insurance eligibility and benefits verification support
- Claims submission support and tracking
- Denial/appeal support
- Payment posting support (ERA/EOB posting support)
- Accounts receivable (A/R) follow-up support
- Patient statement/billing coordination support (where applicable)
- Reporting and operational billing coordination
Note: Specific deliverables depend on your signed Service Agreement / SOW.
1.2 RPO, Recruitment, and Staffing Support
Medinext may provide recruitment and staffing support services, including (as applicable):
- Job requirement intake and sourcing
- Candidate screening and coordination
- Interview scheduling and candidate communication
- Background verification coordination (if agreed)
- Offer and onboarding coordination
- Employer-of-Record support or payroll support (only if explicitly agreed in writing)
1.3 IT Consulting
Medinext may provide IT consulting services, including:
- Software/operations consulting
- Data and reporting support
- Process automation and analytics support
- Healthcare IT support (non-clinical)
- Other consulting services as agreed in writing
2. Scope, Service Agreements, and Changes
Services are provided based on a written agreement such as a Master Service Agreement (MSA), Statement of Work (SOW), Service Order, Proposal, or Engagement Letter.
If there is a conflict between these Terms and a signed agreement, the signed agreement will control.
3. Client Responsibilities
To enable effective service delivery, the Client agrees to:
- Provide accurate, complete, and timely information
- Provide necessary access to systems/tools
- Respond to questions and approvals promptly
- Maintain internal validation processes
- Ensure all shared data is authorized
4. HIPAA, PHI, and Confidentiality (RCM Clients)
If Medinext handles Protected Health Information (PHI), both parties agree to comply with HIPAA regulations.
Where required, a Business Associate Agreement (BAA) will be executed prior to accessing PHI.
5. Access to Client Systems
Client confirms authorization to grant access to third-party systems.
Medinext is not responsible for third-party system failures or incorrect configurations.
6. Communications, SMS, and Consent (TCPA/CTIA Compliance)
Medinext may communicate via phone, email, and SMS for operational purposes.
6.1 Types of Messages
Messages may include:
- Service updates and reminders
- RCM coordination updates
- Recruitment and onboarding communication
- Internal coordination
6.2 SMS Consent, Opt-In, and Privacy
By providing your phone number and opting in, you consent to receive SMS communications from Medinext Global LLC.

You may opt in via:
- Submitting a form on our website
- Checking the SMS consent checkbox
- Providing consent during onboarding

7. Compliance With Laws
Client agrees to comply with applicable laws including:
- HIPAA / HITECH
- TCPA
- Employment laws
- Data privacy laws
8. Fees, Invoicing, and Payment
- Payments due as per agreement
- Late payments may result in suspension
- Client responsible for applicable taxes
9. No Guarantee / Disclaimer
Medinext does not guarantee:
- Claim approvals or reimbursement outcomes
- Hiring success or candidate performance
- Business or revenue results
10. Confidentiality
Both parties agree to protect confidential information unless required by law.
11. Intellectual Property
- Medinext owns its processes, tools, and frameworks
- Client owns its data and systems
- Deliverables governed by SOW
12. Limitation of Liability
Medinext is not liable for indirect or consequential damages.
Total liability is limited to fees paid in the last 3 months.
13. Indemnification
Client agrees to indemnify Medinext against claims arising from:
- Legal violations
- Misuse of services
- Unauthorized data usage
- Failure to obtain consent
14. Suspension / Termination
Medinext may suspend services if:
- Payments are overdue
- Illegal/spam activity detected
- High complaint rates occur
15. Force Majeure
Neither party is liable for delays due to uncontrollable events.
16. Changes to Terms
Terms may be updated periodically. Continued use implies acceptance.
17. Governing Law
Governed by the laws of the State of Wyoming.
