These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Medinext Global LLC (“Medinext,” “we,” “us,” “our”), including Revenue Cycle Management (RCM) services, Recruitment Process Outsourcing (RPO) / Recruitment / Staffing services, and IT Consulting services (collectively, the “Services”).
By engaging our Services, visiting our website, or communicating with us, you agree to these Terms. If you do not agree, please do not use our Services.

1. Services Offered

1.1 Revenue Cycle Management (RCM)

Medinext may provide RCM services for healthcare organizations (medical and/or dental), including (as applicable to the engagement):

  • Insurance eligibility and benefits verification support
  • Claims submission support and tracking
  • Denial/appeal support
  • Payment posting support (ERA/EOB posting support)
  • Accounts receivable (A/R) follow-up support
  • Patient statement/billing coordination support (where applicable)
  • Reporting and operational billing coordination

Note: Specific deliverables depend on your signed Service Agreement / SOW.

1.2 RPO, Recruitment, and Staffing Support

Medinext may provide recruitment and staffing support services, including (as applicable):

  • Job requirement intake and sourcing
  • Candidate screening and coordination
  • Interview scheduling and candidate communication
  • Background verification coordination (if agreed)
  • Offer and onboarding coordination
  • Employer-of-Record support or payroll support (only if explicitly agreed in writing)

1.3 IT Consulting

Medinext may provide IT consulting services, including:

  • Software/operations consulting
  • Data and reporting support
  • Process automation and analytics support
  • Healthcare IT support (non-clinical)
  • Other consulting services as agreed in writing

2. Scope, Service Agreements, and Changes

Services are provided based on a written agreement such as a Master Service Agreement (MSA), Statement of Work (SOW), Service Order, Proposal, or Engagement Letter.
If there is a conflict between these Terms and a signed agreement, the signed agreement will control.

3. Client Responsibilities

To enable effective service delivery, the Client agrees to:

  • Provide accurate, complete, and timely information
  • Provide necessary access to systems/tools (as applicable), including practice management systems, clearinghouses, or portals
  • Respond to questions, approvals, and requests in a reasonable timeframe
  • Maintain internal procedures to validate billing, operational decisions, and patient communications
  • Ensure that all data shared with Medinext is authorized for use and disclosure

4. HIPAA, PHI, and Confidentiality (RCM Clients)

If Medinext handles Protected Health Information (PHI) as part of RCM Services, both parties agree to comply with HIPAA and applicable privacy/security regulations.

Where required, the parties will execute a Business Associate Agreement (BAA) before Medinext accesses PHI or systems containing PHI. Medinext will implement reasonable safeguards to protect PHI consistent with industry practices.

5. Access to Client Systems

When Client authorizes Medinext access to third-party systems (PMS/clearinghouse/payer portals/HR systems), Client represents that it has all required rights and consents to grant such access.
Medinext is not responsible for third-party outages, system limitations, or issues caused by inaccurate configurations or credentials provided by the Client.

6. Communications, SMS, and Consent (TCPA/CTIA)

Medinext may communicate with Clients, employees, and candidates via phone, email, and SMS for service operations.

6.1 Types of Messages

Messages may include:

  • Service updates, meeting reminders, onboarding coordination
  • RCM operational coordination and status updates
  • Recruitment updates, interview scheduling, onboarding communication
  • Internal employee coordination

6.2 SMS Consent and Privacy

By providing your phone number and opting in, you consent to receive SMS communications from Medinext.
SMS consent information will not be shared with third parties or affiliates for marketing purposes.

6.3 Message Frequency and Rates

Message frequency may vary. Message and data rates may apply.

6.4 Opt-Out / Help

7. Compliance With Laws

Client is responsible for using the Services in compliance with applicable laws and regulations, including (as applicable):

  • HIPAA/HITECH
  • TCPA and other telecommunication laws
  • Labor/employment laws for staffing engagements
  • State privacy laws and applicable international regulations if cross-border operations apply

8. Fees, Invoicing, and Payment

Fees, billing cycle, and payment terms are defined in the signed agreement. Unless stated otherwise:

  • Invoices are due per agreed terms
  • Late payments may result in service suspension
  • Client is responsible for applicable taxes or governmental fees

9. No Guarantee / Disclaimer

Medinext provides professional support services, but does not guarantee:

  • Claim approvals, reimbursement timelines, payer decisions, or specific collection outcomes
  • Hiring results, offer acceptance, or candidate performance
  • Any specific business, revenue, or operational outcomes unless explicitly agreed in writing

10. Confidentiality

Both parties agree to keep confidential information secure and use it only to perform the Services. Confidentiality does not apply to information that is public, independently developed, or required to be disclosed by law.

11. Intellectual Property

Medinext retains ownership of its methodologies, templates, processes, tools, and know-how.
Client retains ownership of its data, systems, and proprietary content.
Any deliverables ownership will be as defined in the applicable SOW/Agreement.

12. Limitation of Liability

To the maximum extent permitted by law, Medinext will not be liable for indirect, incidental, special, consequential, or punitive damages.
Medinext’s total liability will be limited to the fees paid by Client to Medinext for the Services during the 3 months preceding the event giving rise to the claim (unless otherwise stated in a signed agreement).

13. Indemnification

Client agrees to indemnify and hold harmless Medinext from third-party claims arising from:

  • Client’s violation of law, including consent and communication rules
  • Client’s misuse of Services
  • Client-provided content/data that infringes third-party rights
  • Client’s failure to obtain required consents, approvals, or permissions

14. Suspension / Termination

Medinext may suspend or terminate Services if:

  • Payments are overdue
  • We reasonably believe there is illegal or abusive use of Services
  • High complaint rates or spam reports occur related to communications
    Termination and notice terms may be further governed by the signed agreement.

15. Force Majeure

Neither party is liable for delays caused by events outside reasonable control, including outages, disasters, government actions, or network failures.

16. Changes to Terms

We may update these Terms from time to time. Updates will be posted with a revised effective date. Continued use of Services means acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, unless a signed agreement states otherwise.
